The terms “we,” “our,” and “us” refer to MERCHELYZ, SASU, operating the online store Shopvault (https://shopvault.merchelyz.com).
These Terms of Service (hereinafter “Terms”) govern access to and use of all services provided by Shopvault, including information, features, tools, products, and related services (collectively, the “Services”).
By using our Services, you agree to be bound by these Terms and our Privacy Policy [LINK].
If you do not agree, you must not use our Services.
SECTION 1 – ACCESS AND ACCOUNT
  • You must be of legal age in your country of residence to use our Services.

  • An order constitutes an offer to purchase.
  • Merchelyz reserves the right to refuse or cancel any order in cases of fraud, prior disputes, inconsistent addresses, payment failure, or other legitimate reasons.
  • Your order is validated only after payment confirmation.
  • Modifications or cancellations after acceptance may not be possible.
  • Returns are subject to our Return & Refund Policy [LINK].
SECTION 4 – PRICING AND BILLING
  • Prices, promotions, and discounts may change without notice.
  • Displayed prices include applicable VAT in France but exclude shipping fees and, for non-EU deliveries, customs duties or import taxes.
  • You must provide accurate and up-to-date payment information.
  • You warrant that you are authorised to use the provided payment methods.
SECTION 5 – SHIPPING AND DELIVERY
  • Processing times: 1–3 business days for order validation and preparation.
Estimated delivery times by region:
  • France & EU: 5–15 business days
  • United Kingdom (UK): 7–20 business days
  • United States (USA): 7–25 business days
  • Rest of the World: 10–30 business days
These times are indicative and do not constitute a contractual commitment.
Carrier liability begins upon product transfer.
Delays beyond our control (customs, strikes, pandemic, force majeure) do not engage our responsibility.
Customs fees, local taxes, or import VAT are the customer’s responsibility.
SECTION 6 – INTELLECTUAL PROPERTY
  • All elements of the site and Services (trademarks, logos, images, videos, text, graphics) are protected under intellectual property law.
  • You are permitted to use the Services solely for personal purposes.
  • Any reproduction, distribution, modification, or commercial exploitation without written authorization is prohibited.

  • Shopvault is powered by Shopify.
  • Sales are conducted directly with Merchelyz.
  • Shopify is not responsible for transactions, products, or services purchased.
  • You release Shopify from any liability related to your purchases.
SECTION 10 – PRIVACY AND PERSONAL DATA
  • Data collected is processed according to our Privacy Policy [LINK] and Shopify’s policies.
  • Information may be transferred outside the EU to provide the Services.
  • Your rights include access, correction, deletion, objection, restriction, and data portability.
SECTION 11 – USER CONTENT AND FEEDBACK
  • Any feedback, reviews, or suggestions submitted grant us a worldwide, perpetual, royalty-free license for commercial or non-commercial use.
  • You warrant that you own the rights to any submitted content.
  • Offensive, illegal, or IP-infringing content may be removed.

  • We may correct any errors or omissions in descriptions, prices, promotions, fees, or timelines.

You agree to indemnify Merchelyz, Shopify, and affiliates against losses, damages, or claims arising from:

  • Violation of law or third-party rights
  • Use of the Services
SECTION 18 – SEVERABILITY
  • If any provision is found invalid, the remaining Terms remain in effect.
SECTION 19 – WAIVER AND ENTIRE AGREEMENT
  • Failure to enforce a right does not constitute a waiver.
  • These Terms and associated policies constitute the entire agreement between you and Merchelyz.
SECTION 20 – ASSIGNMENT
  • You may not assign your rights or obligations without written consent.
  • We may freely assign our rights and obligations.
SECTION 21 – GOVERNING LAW
  • French law applies, and competent courts have jurisdiction.
  • EU customers: compliance with EU Regulation 1215/2012.

  • Headings are for convenience only and do not affect interpretation.

  • We may update these Terms at any time.
  • Changes will be posted on the website and take effect on the indicated date.
  • Continued use of the Services constitutes acceptance of modifications.
